Supplier & Seller Agreement
Terms for suppliers, distributors, and sellers who submit inventory to Sunfinit.
01Purpose & Scope
This agreement applies when you submit inventory or supply opportunities to Sunfinit LLC through our Sell Inventory form or by direct communication. It works together with our Terms & Conditions and Privacy Policy.
02Our Role
Sunfinit acts as a brokerage and sourcing partner that connects available inventory with qualified buyers. Unless agreed in writing, Sunfinit does not take ownership of your inventory, and any sale is between you and the buyer.
03Inventory Information
You agree to provide accurate and complete details, including brand, model, quantity, location, condition (new, open box, used, refurbished, or mixed), availability date, pricing, and any defects, damage, or warranty limitations. You must update us promptly if anything changes, including if inventory is sold or withdrawn.
04Ownership & Authority
You represent that you own the inventory or are authorized to sell it, that it is free of liens and claims, and that you can legally sell it for the stated purpose.
05Compliance
You are responsible for the lawful sale of the equipment, including accurate origin information, applicable certifications, import and customs compliance, and any supply-chain traceability requirements. Please disclose known compliance limitations to us and to the buyer.
06Pricing, Offers & Non-Exclusivity
Target prices you submit are guidance only. Buyer offers are not binding until accepted by you in writing. This agreement is non-exclusive unless a separate written agreement says otherwise, and you may withdraw inventory at any time before a sale is agreed.
07Commissions & Fees
Where Sunfinit is compensated for a brokered transaction, the commission or fee will be agreed with you in writing before the sale. You agree not to bypass Sunfinit to complete a transaction with a buyer introduced by us in order to avoid a commission that was agreed.
08Confidentiality
Sunfinit will share your inventory details only with prospective buyers or partners as needed to find demand. Both parties agree to keep non-public commercial terms, pricing, and counterparty details confidential.
09Warranties, Liability & Indemnity
You are responsible for the accuracy of your submissions and for any warranty you provide to the buyer. You agree to indemnify Sunfinit against claims arising from inaccurate information, lack of authority to sell, or a breach of this agreement. Sunfinit is not liable for a buyer’s failure to pay, perform, or complete a transaction.
10Term & Termination
Either party may end this arrangement at any time by written notice. Obligations for transactions already agreed, including commissions, confidentiality, and indemnity, continue after termination.
